Quess Corp acquired majority stake in Chennai-headquartered Allsec Technologies. The deal, undertaken through Quess’ subsidiary Conneqt Business Solutions will see Conneqt purchasing 35.35% holding from Allsec’s promoters and 26% from First Carlyle Ventures Mauritius, a total of 61.35% of the total share capital.
Allsec is in the business of providing, inter alia, Customer Lifecycle Management (CLM), Human Resource Outsourcing (HRO), and Anti-Money Laundering Services. Quess Corp was largely a domestic and voice dominated BPO business. It was looking to diversify its client base in terms of both non-voice practice revenue lines and higher margin dollar denominated international client base.
The transaction provides such opportunity for the Quess’ business. Allsec’s Customer Life Cycle Management (CLM) international operations were approximately split as 52% voice and 48% non-voice, at time of transaction. The transaction further allows Quess Corp to build a strong HRO practice with marquee clients and a strong international CLM base in the US. The consolidated entity is expected to be accretive in terms of margins and cash flow conversion.
Axis Capital acted as the exclusive financial advisor to Quess Corp for acquisition of majority stake in Allsec Technologies Ltd.
