– The transaction involved GMM Pfaudler acquiring additional equity stake in its subsidiary GMM International
– GMM Pfaudler, a public limited company incorporated on 17 November 1962, is one of the leading manufactures of corrosion resistant glass-lined equipment used primarily in the chemical, pharmaceutical, and allied industries in India and internationally
– GMM International, a subsidiary of GMM Pfaudler, is in the business of providing corrosion-resistant technologies, systems and services to pharmaceutical and chemical industries.
– Pursuant to the acquisition, GMM Pfaudler issued its equity shares to certain existing equity shareholders of GMM International on a preferential basis in exchange for part of their equity shareholding in GMM International
– The transaction brings in management efficiencies and reduces the multiplicity of legal and regulatory compliances and improve governance standards. It allows GMM Pfaudler to service customer needs better basis the combined portfolio of products and marketing capabilities across the globe and create value for all stakeholders without any perceived conflict of interest
– The transaction was approved by the public shareholders by an overwhelming majority (94.16% votes in favor)
– Acted as the Transaction Advisor and provided an Independent Fairness Opinion to GMM Pfaudler on the Share Exchange Ratio
– Structured the entire transaction and provided comprehensive transaction support including assistance in various facets associated with the proposed transaction such as devising the overall communication strategy
